Collection of Personal Information

When you engage in certain activities on this site, such as ordering products, downloading software, or entering contests, GrapeCity may ask you to provide certain information about yourself by filling out and submitting an online form. It is completely optional for you to engage in these activities. If you elect to engage in these activities, however, GrapeCity may require that you provide certain personal information such as your name, mailing address, e-mail address, and other personal identifying information. When ordering products on the Website, you may be asked to provide a credit card number. GrapeCity collects this information in order to record and support your participation in the activities you select. If you order a product, for example, the information is used to register your license and rights, if any, to upgrade discounts, technical support, or other benefits that may be made available to registered users. If you enter a contest, information is collected to qualify the entry and contact you regarding the contest or prize awards. GrapeCity also uses the information that you provide as part of our effort to keep you informed about product upgrades, special offers, and other GrapeCity products and services. Notwithstanding other provisions contained herein to the contrary, you hereby agree that GrapeCity may assign, license, or otherwise transfer to a third party, your name, address, email address, member name, and any other personal information in connection with an assignment, sale, joint venture, or other transfer or disposition of a material portion or essentially all of the assets or stock of GrapeCity or its affiliated entities.

Member Account, Password, and Security

If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete, and accurate information as prompted by the applicable registration form. Errors on Our Site

Prices and availability of products and services are subject to change without notice. Errors will be corrected when and where discovered, and GrapeCity reserves the right to revoke any stated offer and to correct any errors, inaccuracies, or omissions, including after an order has been submitted and whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, GrapeCity will issue a credit to your credit card account in the amount of the charge. Individual bank policies will dictate when this amount is credited to your account. If you are not fully satisfied with your purchase, you may return it in accordance with GrapeCity's Return Policy.

Promotional Messages

GrapeCity may, from time to time, send e-mail messages to you containing advertisements, promotions, etc. GrapeCity makes no representation or warranty with respect to the content of any such e-mail messages or any goods or services that may be obtained from GrapeCity, and you agree that GrapeCity shall not be liable to you thereto.

Indemnification

You agree to indemnify and hold each officer and/or employee of GrapeCity, its parent companies, subsidiaries, and affiliates, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of GrapeCity's site, the violation of these Terms and Conditions by you, or the infringement by you, or any other user of your account, of any intellectual property or other rights of any person or entity.

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to conflicts of laws provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be Indian courts sitting in the County of India and Indian courts having within their jurisdiction the location of GrapeCity's principal place of business. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees.

Remedies for Breach of these Terms by You

In the event that GrapeCity determines, at its sole discretion, that you have breached any portion of these Terms and Conditions, or have otherwise demonstrated conduct inappropriate for the community of GrapeCity's site, GrapeCity reserves the right to (i) warn you via e-mail that you have violated these Terms and Conditions; (ii) delete any content provided by you or your agent(s) to GrapeCity's site, (iii) delete all content provided by you to GrapeCity's site, (iv) discontinue your registration with GrapeCity's site and/or any other GrapeCity community; (v) notify and/or send Content to and/or fully cooperate with the proper law enforcement authorities for further action; and/or (vi) any other action that GrapeCity deems appropriate.

Miscellaneous Information

In the event that any provision of the Terms and Conditions conflicts with the law under which the Terms and Conditions are to be construed or if any such provisions are held invalid by a court with jurisdiction over the parties to the Terms and Conditions, such provision will be deemed to be restated to reflect as nearly as possible the original intentions of the parties in accordance with applicable law, and the remainder of these Terms and Conditions will remain in full force and effect.

The failure of either party to insist upon or enforce strict performance by the other party of any provision of the Terms and Conditions or to exercise any right under the Terms and Conditions will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision or right in that or any other instance, rather, the same will be and remain in full force and effect.

GrapeCity may assign, without notice, its rights and obligations under these Terms and Conditions and upon such assignment, GrapeCity may be relieved of any further obligation hereunder.

You represent to GrapeCity that you have the authority to register with GrapeCity's site according to these Terms and Conditions. These Terms and Conditions and any Additional Terms (as such terms shall be identified when posted on GrapeCity's site by GrapeCity) constitute the entire understanding between the parties as to the subject matter herein and supersede all prior agreements and understandings. Any legally unenforceable provision of these Terms and Conditions will, at the election of GrapeCity, be deleted or modified to correct the defect and, regardless, the remainder of the terms of these Terms and Conditions will remain valid and enforceable.

GrapeCity reserves the right to charge fees, surcharges, and/or membership fees at any time without any notice to you.
